1. Acceptance of Terms

By accessing or using Factory Launchpad ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform.

The Platform is operated by Factory Launchpad and provides services for launching and trading code-backed tokens on the Solana blockchain.

2. Eligibility

You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you are of legal age to form a binding contract and meet all eligibility requirements.

You are responsible for ensuring that your use of the Platform complies with all laws, rules, and regulations applicable to you in your jurisdiction.

3. Platform Services

Factory Launchpad provides:

  • Prompt Mode: AI-powered code generation and token launch capabilities
  • Repo Mode: GitHub repository integration for verifiable code-backed token launches
  • Trading functionality for SPL tokens on Solana
  • Token discovery and trending features

All services are provided on an "as is" basis without warranties of any kind.

4. User Responsibilities

When using the Platform, you agree to:

  • Provide accurate and complete information
  • Maintain the security of your wallet and credentials
  • Not engage in any fraudulent, deceptive, or manipulative activities
  • Not use the Platform for any unlawful purposes
  • Not attempt to interfere with or disrupt the Platform's operation
  • Comply with all applicable laws and regulations

5. Fees

The Platform charges the following fees:

  • 0% trading fee on Bags ecosystem tokens
  • 0.5% trading fee on external tokens
  • Standard Solana network transaction fees apply to all transactions

Fees are subject to change. Any changes will be communicated through the Platform.

6. Intellectual Property

For code generated through Prompt Mode, you retain ownership of the generated code, subject to any underlying licenses of libraries or frameworks used.

For Repo Mode launches, you retain full ownership and control of your GitHub repository and its contents. The Platform only creates verifiable links between your code and the launched token.

7. Risk Disclosure

Cryptocurrency and token trading involves substantial risk of loss. You acknowledge and accept that:

  • Token prices are highly volatile and can result in complete loss of value
  • Past performance is not indicative of future results
  • You should only invest what you can afford to lose
  • The Platform does not provide financial, investment, or legal advice

8. Limitation of Liability

To the maximum extent permitted by law, Factory Launchpad shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses, resulting from your use of the Platform.

9. Indemnification

You agree to indemnify and hold harmless Factory Launchpad, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Platform or violation of these Terms.

10. Modifications

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Platform after any changes constitutes acceptance of the modified Terms.

11. Termination

We may terminate or suspend your access to the Platform at any time, without prior notice or liability, for any reason, including breach of these Terms.
